1. Services
BitPixel Coders provides AI automation, custom software development, web and mobile application development, cloud solutions, and related digital services. The specific scope, deliverables, and timelines for each engagement are defined in individual project agreements or statements of work.
2. Engagement & Project Agreements
All projects are governed by a separate Statement of Work (SOW) or project agreement that outlines scope, deliverables, timelines, and fees. These Terms apply in addition to any project-specific agreements. In case of conflict, the project agreement takes precedence.
3. Intellectual Property
- Client Materials: You retain ownership of all content, data, and materials you provide to us for the project.
- Deliverables: Upon full payment, intellectual property rights to custom-developed deliverables transfer to you, unless otherwise specified in the project agreement.
- Pre-existing IP: We retain ownership of our pre-existing tools, frameworks, libraries, and methodologies. You receive a non-exclusive license to use these as part of the delivered solution.
- Portfolio Rights: We may reference the project in our portfolio and marketing materials unless you request otherwise in writing.
4. Payment Terms
- Payment schedules and amounts are defined in individual project agreements.
- Unless otherwise agreed, invoices are due within 15 days of issuance.
- Late payments may result in project suspension until outstanding balances are cleared.
- All fees are exclusive of applicable taxes unless stated otherwise.
5. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business strategies, technical specifications, user data, and any information marked as confidential. This obligation survives the termination of the agreement.
6. Warranties & Disclaimers
We warrant that our services will be performed in a professional and workmanlike manner. However, software is provided "as is" after the agreed warranty/support period. We do not guarantee uninterrupted or error-free operation of any delivered software beyond the scope of the project agreement.
7. Limitation of Liability
To the maximum extent permitted by law, BitPixel Coders shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim shall not exceed the fees paid by you for the specific project giving rise to the claim.
8. Termination
- Either party may terminate a project engagement with 30 days' written notice.
- Upon termination, you are responsible for payment of all work completed up to the termination date.
- We will deliver all completed work and materials upon receipt of final payment.
- Sections regarding intellectual property, confidentiality, and limitation of liability survive termination.
9. Website Use
When using our website, you agree not to: use the site for any unlawful purpose; attempt to gain unauthorised access to our systems; interfere with or disrupt the website's operation; or reproduce, duplicate, or exploit any part of the site without our express written permission.
10. Governing Law
These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Mohali, Punjab, India.
11. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via our website. Continued use of our services after changes constitutes acceptance of the updated Terms.
